AI is already in the data room

How AI-enabled due diligence is changing the way sell-side and buy-side teams work through M&A deals. Here's what's changing, and what it means for the next generation of virtual data rooms ("VDRs").


Due diligence has always been a race against time. Buyers want answers quickly; sellers want to control what gets shared and when. For decades the data room sat in the middle as a passive filing cabinet. It was secure, auditable, but fundamentally a place to store documents. That is changing with AI.

AI is turning the VDR from a passive archive into an active part of reducing the workload on work that does not move the deal and more time on the workflows where human judgement excels.

The data room is no longer where documents go to wait. It is becoming an active participant in the diligence process.

From storage to understanding

The first generation of "AI in the data room" was little more than full-text search with a nicer label. Useful, but shallow. The shift now underway is toward tools that actually read the documents the way an analyst would: summarising a 300-page supplier contract, surfacing the three clauses that matter, and flagging where two documents contradict each other.

For the sell-side, that means less time spent answering the same buyer questions over and over. For the buy-side, it means getting to the substance of a deal in hours instead of weeks.

Where it helps most today

The pattern is consistent across the teams we work with. AI delivers the clearest value where the task is bounded and repetitive:

  • Setting up the folder structure — Every deal starts with one or more information request lists, usually in some unstandardized format — Excel, PDF, Word, whatever the buyer's advisor sends. Translating this into a VDR-compatible format and generating a sensible folder structure may take hours from any deal.
  • Organising uploads — sorting hundreds of files into a sensible folder structure automatically.
  • Answering questions — drafting Q&A responses grounded in the documents already in the room.
  • Finding the needle — semantic search that understands intent, not just keywords.

Open-ended judgement stays firmly with the deal team. Valuation calls, deal strategy, reading the room in a negotiation. AI is the analyst that never sleeps, not the partner who signs off.

What this means for the next data room

The data room of the next few years will not be defined by how much it can store, but by how quickly it helps everyone involved get to a confident decision. Security and auditability remain the foundation. On top of that, it will be necessary to partner and integrate with other AI systems across the deal stack, so the room becomes the shared source of truth they all build on.
