Permission is granted to create projects, upload files, and share them with other users for personal or professional use only, as outlined in this agreement.

This license does not transfer any title or rights beyond those specifically granted here. Under this license you may not:

• modify or reproduce the materials for unauthorized or commercial use without explicit permission;
• use the platform for illegal activities or for the unauthorized distribution of protected content;
• attempt to reverse-engineer or tamper with the software behind the service;
• remove any copyright or proprietary notices from shared files or the platform;
• share, mirror, or transfer files without the authorization of the project owner or administrator.

Users are solely responsible for the files and content they upload, share, or store within the platform.

We implement industry-standard security measures to protect your content, including encryption in transit and at rest, access controls, and audit logging. While we are committed to maintaining a secure environment, no system can guarantee absolute security against all threats.

• In the unlikely event of a security incident, we will notify affected users promptly and take all reasonable steps to mitigate impact and prevent recurrence.
• We are not liable for loss or unauthorized access resulting from user error, compromised credentials, or circumstances beyond our reasonable control.
• We perform daily backups of all stored files. In the event of data loss due to a platform-side failure, we will make every reasonable effort to restore content from the most recent backup.

Users have the ability to share projects and files with others by managing permissions within the platform.

We are not responsible for any accidental sharing of files or information with unintended recipients due to user error or misconfigured permissions.

• It is the user’s responsibility to verify that sharing settings are correctly configured to ensure that only intended recipients can access the files.
• We do not take responsibility for any misuse of shared content by recipients or for any data breaches resulting from unauthorized access.

Subscription terms depend on the pricing model selected at the time of purchase:

• Monthly subscriptions may be cancelled at any time. Upon cancellation, access continues until the end of the current billing period, after which no further charges will apply.
• Fixed-term subscriptions run for an initial period of 12 months from the activation date. At the end of the term, the subscription may be extended on an annual basis at a fee comparable to the original dataroom fee, subject to the then-current pricing.
• Early termination of a fixed-term subscription does not entitle the user to a refund of prepaid fees unless otherwise agreed in writing.

We reserve the right to suspend or terminate access to the service for users who violate these terms or engage in prohibited activities.

In the event of termination, users will no longer have access to their projects and files stored on the platform. It is recommended to download and store personal backups regularly.

• Termination may occur without prior notice in cases of severe violations or legal infractions.
